Combined Code Compliance
The Board is committed to the highest standards of corporate
governance set out in the Combined Code on Corporate Governance
published by the Financial Reporting Council in June 2008 (“the
Code”). The directors are of the opinion that the Company has been
in compliance with the provisions of the Code in substantially all
respects except where any non-compliance is disclosed and
explained. To reinforce compliance with the Code and ensure
day-to-day focus on corporate governance is maintained, during the
year the Board has appointed a full-time company secretary to the
Board. The Group Company Secretary will work closely with the Board
and in particular with the non-executive directors to establish
best practice corporate governance across the Group. The purpose of
good Corporate Governance is to ensure that the interests of
management remain aligned with shareholders. Please click through
